1. Acceptance of Terms

By downloading, installing, accessing, or using Calli ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. Tea Time Studio LLC ("we," "us," or "our") reserves the right to update these Terms at any time. We will notify you of material changes through the App or by other reasonable means. Your continued use of the App after such changes constitutes acceptance of the updated Terms.

2. Description of Service

Calli is a personal planning and scheduling mobile application available on iOS and Android. The App allows you to create and manage events and tasks, view daily schedules, and receive notifications. All content you create within the App is private and for your personal use only.

3. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Account Registration

You may be required to create an account to access certain features of the App. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating your account and to update it as necessary. You must notify us promptly of any unauthorized use of your account.

5. Subscriptions and Payments
5.1 Free and Paid Tiers

Calli offers both free and paid subscription tiers. The paid tier ("Calli Plus") provides access to additional features as described in the App.

5.2 Subscription Plans

Calli Plus is available at the following prices:

  • Weekly: $0.99 per week

  • Monthly: $2.49 per month

  • Yearly: $14.49 per year

Prices are in U.S. dollars and may vary by region. We reserve the right to change subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle, and we will provide reasonable notice before changes apply.

5.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis through the Apple App Store or Google Play Store (each, a "Platform"). Your subscription will automatically renew at the end of each billing period unless you cancel it at least 24 hours before the end of the current period.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your Platform’s account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to Calli Plus features until that time. Refunds are handled in accordance with the policies of the applicable Platform (Apple App Store or Google Play Store). We do not process refunds directly.

6. User Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. All tasks, events, and other content you create in the App are private and are not shared with other users or third parties except as described in our Privacy Policy.

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations.

  • Attempt to gain unauthorized access to the App, its servers, or any related systems or networks.

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.

  • Interfere with or disrupt the integrity or performance of the App.

  • Use the App to transmit any malicious code, viruses, or harmful content.

  • Reproduce, distribute, or create derivative works based on the App without our prior written consent.

8. Intellectual Property

All rights, title, and interest in and to the App — including its design, graphics, text, software, and other content — are and remain the exclusive property of Tea Time Studio LLC. These Terms do not grant you any rights to our trademarks, service marks, or branding. You retain ownership of the personal content (tasks, events, and notes) you create within the App.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEA TIME STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tea Time Studio LLC, its officers, directors, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your use of the App.

12. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause and with or without notice. Upon termination, your right to use the App ceases immediately. Sections 8 through 13 of these Terms shall survive any termination or expiration.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tea Time Studio LLC regarding your use of the App and supersede all prior agreements and understandings.
